Impugnación de acuerdos sociales: la búsqueda de un proceso eficaz a través de las restricciones

Abstract

[ES] El presente Trabajo de Fin de Máster aborda el procedimiento de impugnación de acuerdos sociales, si bien se hace referencia a los regímenes impugnatorios anteriores, éste se centra especialmente en el modelo instaurado tras la reforma realizada por la Ley 31/2014, de 3 de diciembre. Posteriormente, se examinarán las principales instituciones del proceso de impugnación societario, analizando las principales novedades introducidas en materia de acuerdos sociales por la reforma anteriormente mencionada, con una singular alusión a los acuerdos sociales susceptibles de ser o no ser impugnados, así como a los motivos sobre los que hacer valer la impugnación. Por último, se estudiará el sistema de legitimación activa y pasiva, haciendo énfasis en las restricciones a esta, al igual que, la particularidad eficacia de la cosa juzgada en el citado procedimiento judicial. La perspectiva del estudio viene dada por la singular definición del ámbito de la tutela judicial efectiva en una materia propiamente mercantil que desea que la presencia judicial no vaya más allá de lo estrictamente imprescindible.

[EN] This Master's Thesis deals with the procedure for challenging corporate resolutions, although reference is made to previous challenging regimes, this one focuses especially on the model established after the reform carried out by Law 31/2014, of 3 December. Subsequently, the main institutions of the corporate challenge process will be examined, analysing the main novelties introduced in the area of corporate resolutions by the aforementioned reform, with a particular reference to the corporate resolutions that may or may not be challenged, as well as the grounds on which the challenge may be asserted. Finally, the system of active and passive legitimation will be studied, with emphasis on the restrictions to this, as well as the particular effectiveness of res judicata in the aforementioned judicial procedure. The perspective of the study is given by the unique definition of the scope of effective judicial protection in a strictly commercial matter that does not want the judicial presence to go beyond what is strictly necessary.
